En el marco de la XXXI Exposición Comercial ASONAHORES 2017, que tuvo lugar los días 14 y 15 de septiembre, DMK Abogados | Central Law auspició y participó en el seminario titulado “Desarrollo de Proyectos Turísticos”.

En la ocasión, disertaron los abogados Patricia Guzmán y Andrés Ceara Brugal. La Lic. Guzmán abordó lo relativo al régimen de incentivos de la Ley No. 158-01, sobre Fomento al Desarrollo Turístico, incentivos por construcción, renovación y remodelación de proyectos turísticos; permisología aplicable para el desarrollo de proyectos (autorizaciones ambientales, municipales, habilitaciones del Ministerio de Turismo); mientras que el Lic. Ceara Brugal expuso sobre los contratos para el desarrollo de proyectos turístico y debida diligencia requerida antes de la adquisición de una infraestructura hotelera construida o el desarrollo de un proyecto nuevo.

Igualmente, DMK Abogados | Central Law, en la persona del Lic. Samir Mateo, Director del Departamento Laboral de la firma, participó en el seminario “Prácticas Laborales y Seguridad Social del Sector Turismo”. Durante su participación, el Lic. Mateo abordó lo relativo a los procesos de contratación de personal, registro de empresas en la Seguridad Laboral, código de ética y políticas de las empresas, terminación de contratos de trabajo, entre otros temas.

PERMISOLOGÍA APLICABLE PARA EL DESARROLLO DE PROYECTOS TURÍSTICOS.

XXXI EXPOSICIÓN COMERCIAL ASONAHORES 2017.

 

 LEY NO. 158-01, SOBRE FOMENTO AL DESARROLLO TURÍSTICO.

La Ley No. 158-01, sobre fomento al desarrollo turístico, de fecha 09 de octubre del 2001, modificada por las leyes Nos. 184-02, 318-04, 253-12 y 195-13, tiene como objetivo acelerar un proceso racionalizado del desarrollo de la industria turística en todo el territorio nacional, a través del otorgamiento de incentivos fiscales y beneficios a los promotores turísticos.

  • ÁMBITO DE APLICACIÓN.

Son elegibles para estos incentivos todas aquellas personas físicas y morales que se encuentren domiciliadas en el país que emprendan, promuevan o inviertan capitales en cualquiera de las actividades indicadas a continuación:

  1. Instalaciones hoteleras, resorts y/o complejos hoteleros;
  2. Construcción de instalaciones para convenciones, ferias, congresos internacionales, festivales, espectáculos y conciertos;
  3. Empresas dedicadas  a  la  promoción  de  actividades  de  cruceros  que establezcan, como  puerto  madre  para  el  origen  y  destino  final de  sus embarcaciones, cualesquiera de los puertos especificados en esta ley;
  4. Construcción y operación de parques de diversión y/o parques ecológicos y/o parques temáticos;
  5. Construcción y/o operación de las infraestructuras portuarias y marítimas al servicio del turismo, tales como puertos deportivos y marinos;
  6. Construcción y/o  operación  de  infraestructuras turísticas, tales como acuarios, restaurantes, campos de golf, instalaciones deportivas y cualquier otra  que pueda ser clasificable como  establecimiento perteneciente a las actividades turísticas;
  7. Pequeñas y medianas empresas cuyo mercado se sustenta fundamentalmente en el turismo (artesanía, plantas  ornamentales, peces  tropicales, granjas reproductoras de pequeños reptiles endémicos y otras de similar naturaleza);
  8. Empresas de infraestructura de servicios básicos para la industria turística, tales como  acueductos, plantas de tratamiento, saneamiento ambiental, recogida de basura y desechos sólidos. 

Los beneficiarios de esta Ley estarán exonerados del pago de lo siguiente:

  1. El impuesto sobre la renta;
  2. Los impuestos nacionales y municipales por constitución de sociedades, por aumento de capital de sociedades ya constituidas, los impuestos nacionales y municipales por transferencia sobre derechos inmobiliarios, del Impuesto sobre Viviendas Suntuarias y Solares No Edificados (IVSS). Así como las tasas, derechos y cuotas por la confección de los planos, de los estudios, consultorías y supervisión y la construcción de las obras a ser ejecutados en el proyecto turístico de que se trate, siendo esta última exención aplicable a los contratistas encargados de la ejecución de las obras;
  3. De los impuestos de importación y otros impuestos tales como tasas, derechos, recargos, incluyendo el Impuesto a las Transferencias de Bienes Industrializados y Servicios (ITBIS), que fueren aplicables sobre las maquinarias, equipos, materiales y bienes muebles que sean necesarios  para la construcción y para el primer equipamiento y puesta  en operación de la instalación turística de que se trata.
  • PERÍODO DE EXENCIÓN.

 El periodo de exención fiscal será de quince (15) años a partir de la fecha de terminación de los trabajos de construcción y equipamiento del proyecto objeto de estos incentivos. Se otorga un plazo que no excederá en ningún caso los (3) tres años para iniciar en forma sostenida e ininterrumpida la operación del proyecto aprobado, plazo cuyo incumplimiento conllevará a la pérdida ipso-facto del derecho de exención adquirido.

  • ÓRGANO RECTOR.

 La aplicación de esta Ley está a cargo del Consejo de Fomento Turístico (en lo adelante “CONFOTUR”), presidido por el Ministro de Turismo y conformado por el Ministro de Hacienda o su representante, el Ministro de Medio Ambiente y Recursos Naturales, o su representante; el Ministro de Cultura, o su representante; un representante de la Asociación de Hoteles y Turismo de la República Dominicana, Inc. (ASONAHORES); un representante del Viceministerio Técnico de Turismo, quien actuará como Secretario; un profesional en impacto ambiental de reconocida capacidad seleccionado por el Ministerio de Medio Ambiente y Recursos Naturales,  y un representante del Ministerio de Cultura.

  • INCENTIVOS POR REMODELACIÓN O RENOVACIÓN

Aunque la Ley originalmente estaba destinada a proyectos nuevos, fue modificada en el año 2013 considerando la necesidad de renovar la planta hotelera con más de cinco (5) años de construcción y de reconstruir o remodelar la que ya tiene más de quince (15) años construida, a saber:

  • Las inversiones en las actividades turísticas correspondientes a instalaciones hoteleras, resorts o complejos hoteleros en las estructuras existentes, se beneficiarán de la exención del cien por ciento (100%) del Impuesto sobre la Transferencia de Bienes Industrializados y Servicios (ITBIS) y otros impuestos que fueren aplicables sobre las maquinarias, equipos, materiales, y bienes muebles que sean necesarios para la modernización, mejoramiento y renovación de dichas instalaciones, siempre que tengan un mínimo de cinco (5) años de construidas.

 El espíritu de este artículo es promover la modernización, mejoramiento y renovación de las estructuras hoteleras existentes en el país, que tengan un mínimo de cinco (5) años de construidas, con lo cual el Estado asume una porción de la carga que supone el mantenimiento de las instalaciones hoteleras, resorts o complejos hoteleros en el país. Un gran paso puesto que la mayoría del inventario de habitaciones hoteleras del país datan de hace más de cinco (5) años y requieren mínimamente ser renovadas.

  • Las instalaciones hoteleras, resorts y/o complejos hoteleros en las estructuras existentes que tengan un mínimo de quince (15) años de construidas que se sometan a un proceso de reconstrucción o remodelación que sobrepase el cincuenta por ciento (50%) de sus instalaciones y cuyo destino final sea instalaciones hoteleras, se beneficiarán del cien por ciento (100%) del régimen de exención que establece el Art.4 de la ley.

 De nuevo es este un reconocimiento por parte del Estado de la urgencia en reconstruir o remodelar las instalaciones hoteleras del país que tienen más de quince (15) años de construidas, y que obviamente no responden a los requerimientos del exigente turista de hoy, que tiene una amalgama de ofertas fácilmente accesibles vía internet.

 REQUISITOS PARA APLICAR A INCENTIVOS POR MODERNIZACIÓN RENOVACIÓN. (ESTRUCTURAS HOTELERAS CON UN MÍNIMO DE CINCO (05) AÑOS DE CONSTRUIDAS)

 Los requisitos que establece la Ley en este sentido son: (i) estar dentro de la categoría de “instalaciones hoteleras, resorts y/o complejos hoteleros” y (ii) tener un mínimo de cinco (05) años de construidas.

Acotar que en este escenario solo se beneficiarán de la exención al Impuesto sobre la Transferencia de Bienes Industrializados y Servicios (ITBIS) y otros impuestos que fueren aplicables sobre las maquinarias, equipos, materiales y bienes muebles que sean necesarios para la modernización de la estructura hotelera.

  • REQUISITOS PARA APLICAR A INCENTIVOS POR REMODELACIÓN O RECONSTRUCCIÓN (ESTRUCTURAS HOTELERAS CON UN MÍNIMO DE QUINCE (15) AÑOS DE CONSTRUIDAS).

 Los requisitos que establece la Ley en este sentido son: (i) estar dentro de la categoría de “instalaciones hoteleras, resorts y/o complejos hoteleros”, (ii) tener un mínimo de quince (15) años de construidas y (iii) que el porcentaje de inversión del proyecto de reconstrucción o remodelación sobrepase el cincuenta por ciento (50%) de sus instalaciones y que dicha inversión en construcción o remodelación se realice fundamentalmente en las siguientes dependencias del hotel, resort o complejo hotelero: bloques de habitaciones, áreas comunes del hotel (restaurantes, lobby, tiendas, spa, bares, salones de convenciones, etc.), áreas de servicios (cocinas, lavandería, oficinas, etc.) y cualquier otra facilidad techada del hotel.

En este escenario aplica el cien por ciento (100%) del régimen de exención que establece el Art.4 de la ley.

  1. PERMISOLOGÍA APLICABLE

 Respecto de la permisología aplicable para el desarrollo de proyectos turísticos, podemos destacar lo siguiente:

 2.1. AUTORIZACIÓN AMBIENTAL

 Es la habilitación emitida por el Ministerio de Medio Ambiente y Recursos Naturales. Dependiendo del impacto ambiental las autorizaciones ambientales se clasificarán de la siguiente manera:

Categoría A:  Licencia Ambiental

Categoría B:  Permiso Ambiental

Categoría C:  Constancia Ambiental

Categoría D:  Certificado de Registro de Impacto Mínimo

Sobre la vigencia de las autorizaciones, para las autorizaciones categorías A y B, la primera revisión será a los cinco (5) años; la segunda revisión, siete (7) años después; la tercera, diez (10) años luego de la segunda; y las subsiguientes, cada diez (10) años; respecto las autorizaciones categoría C, éstas tendrán vigencia variable hasta un máximo de cinco (5) años de acuerdo a las características y naturaleza del proyecto y las categoría D tendrán vigencia variable definida en función  a la naturaleza de la actividad.

Así mismo, las autorizaciones ambientales pueden ser canceladas, suspendidas, modificadas o actualizadas.

Respecto de las obligaciones del promotor tras recibir la autorización ambiental se encuentran: (i) la presentación periódica de los Informes de Cumplimiento Ambiental (ICAs´), (ii) actualización de los Programas de Manejo y Adecuación Ambiental (PMAA) y (iii) renovación de las Pólizas Ambientales.

2.2. AUTORIZACIÓN MUNICIPAL

 Son emitidas por el Ayuntamiento correspondiente. En general son las siguientes:

  • No Objeción de Uso de Suelo
  • Anteproyecto y proyecto
  • No Objeción

 

  • AUTORIZACIONES MINISTERIO DE TURISMO

El Departamento de Planeación y Proyectos (DPP) del Ministerio de Turismo emite las siguientes autorizaciones, luego de comprobarse que el proyecto cumple con los parámetros establecidos en los Planes de Ordenamiento Territorial  sectoriales elaborados por el citado Ministerio.

  • No Objeción de Uso de Suelo
  • Análisis Previo
  • Parámetros de Diseño

Otros títulos habilitantes emitidos por el Ministerio de Turismo son:

  • Licencia de Operación Hoteles y Restaurantes.
  • Licencia para Operar Tiempo Compartido (Time Share).
  • Licencia Transporte Aéreo/ Marítimo.
  • Clasificación Establecimiento Hotelero/ Restaurant.

 

  • NUESTRA EXPERIENCIA

 DMK Abogados | Central Law fue la firma de abogados que presentara la primera solicitud de clasificación al CONFOTUR. Nuestra experiencia nos ha dejado dos lecciones importantes: (i) ser realistas. Entendemos y respetamos el hecho de que un proyecto con intención en clasificarse debe justificar una vinculación directa con el sector turismo. Un proyecto puramente inmobiliario, aunque se encuentre en un polo turístico, no califica para optar por los beneficios de la ley. (ii) ser creativos.  Identificamos oportunidades más allá de lo que textualmente establece la ley. Cada caso es diferente y debe establecerse una estrategia legal distinta para cada uno.

Sobre las lecciones que hemos aprendido respecto del trámite de la permisología requerida para los proyectos turísticos, podemos destacar lo siguiente: (i) la administración tiene potestades que hay que aprender a tolerar y respetar; (ii) aunque la legislación vigente aplicable en cada caso establezca plazos, no existe silencio positivo y (iii) tras la entrada en vigor de la Ley No. 107-13, sobre derechos y deberes de los ciudadanos en su relación con la administración pública, los usuarios tenemos ciertas garantías y una herramienta de defensa, si se quiere, ante las malas actuaciones administrativas.

CONTRATOS PARA EL DESARROLLO DE PROYECTOS TURÍSTICOS

XXXI EXPOSICIÓN COMERCIAL ASONAHORES 2017.

Visto de manera simplificada, aquellos capitales interesados en introducirse en el núcleo de un sector atractivo de la economía del país, como en efecto lo es  el sector turismo, pueden optar por dos opciones, dar inicio a un proyecto desde cero o adquirir uno que se encuentre operativo y se  ajuste a sus necesidades y expectativas.

Aquellos que se inclinen por la segunda opción tienen el beneficio del el tiempo, puesto que desde el inicio de las negociaciones hasta la suscripción de los acuerdos suelen transcurrir alrededor de seis meses frente a una alternativa (iniciar un proyecto desde 0) de aproximadamente dos años.

El sacrificio a cambio del tiempo ganado es el riesgo envuelto en este tipo de transacciones, propio de la naturaleza del objeto de adquisición. La transferencia de la propiedad de las cuotas sociales o acciones, según sea el caso de la sociedad comercial titular del proyecto conlleva consigo el traslado de todas las obligaciones y derechos que ostentaba el vendedor en esa calidad,  con la suscripción de los contratos de venta el comprador pasa a ser el nuevo responsable de la sociedad en proporción al capital adquirido, subrogándose este en todas las posiciones que el anterior propietario ocupaba, frente a sus suplidores, empleados, socios comerciales, acreedores, deudores y autoridades públicas incluyendo a la Dirección General de Impuestos Internos.

La compra de acciones o cuotas sociales implica un cambio de control de la sociedad, por tanto se adquiere con la misma todas las relaciones jurídicas preexistentes, derechos y obligaciones.

Dentro de estos seis meses se agotan, tres  etapas distintas que en conjunto conforman un proceso de adquisición y que cuando son bien llevadas mitigan en gran medida los riesgos antes mencionados.

FASE PRE CONTRACTUAL

Inmediatamente las partes involucradas hayan convenido en los puntos de mayor trascendencia, es de suma importancia para el éxito de la operación que estos convenios queden recogidos en una documento, dejando así constancia de su voluntad de negociar y llevar a cabo la transacción. Este acto normalmente recibe el nombre de carta de intenciones y puede ser carácter vinculante o no dependiendo de su redacción, suelen incluirse en ella:

  1. Pacto de exclusividad.
  2. Cláusulas de confidencialidad y
  • Periodo de Investigación o Debida Diligencia.

La carta de intención o memorándum de entendimiento es en su esencia una guía para el proceso, queda plasmado en su contenido cómo deben actuar las partes a lo largo del proceso en el que se han embarcado.

Los trabajos de investigación o Debida Diligencia constituyen el elemento más importante de la transacción de cara a los intereses del adquiriente, puesto que de los resultados de la misma se determinará cual es la posición de la sociedad adquirida, las relaciones jurídicas preexistentes, así como los derechos y obligaciones que se encuentren vigentes y de ello  dependerá en gran medida el  precio que se fije para la operación.

FASE CONTRACTUAL

Consiste en  la suscripción de un contrato formal que recoge todos los elementos de la operación y los compromisos que asume un aparte frente a la otra.

Debe incluirse en el mismo un apartado de “Representations & Warranties”, es decir un conjunto de declaraciones que en su conjunto puedan leerse con una radiografía del objeto de compra al momento de la suscripción del acuerdo, la irregularidad o imprecisión de las mismas deben vincularse a consecuencias económicas.

Es clave para ambas partes, pero sobre todo para el comprador que dentro del contrato mismo se distribuyan los riesgos, que se defina quien se hará cargo de cualquier contingencia, gasto o pago que se origine luego del cierre, como consecuencia de un hecho que tuvo lugar antes de la firma del contrato.

Será necesario también forzar al vendedor a que se comprometa a cooperar con la producción de cualquier documento o declaración que haga falta  los fines de que se formalice la transferencia de todas las propiedades frente a los estamentos públicos que pudieran estar involucrados.

POST CLOSING

Por último cabe destacar la fase del post-closing o fase de ejecución de las obligaciones del contrato, donde  se realizan las inscripciones en los registros correspondientes, a los fines de legitimar y hacer oponible frente a terceros la operación.[:en]On the XXXI ASONAHORES TRADE FAIR 2017, which took place on September 14th and 15th, DMK Lawyers took part as both sponsor and panelist in the seminar entitled “Developing Tourism Projects”.

APPLICABLE PERMISOLOGY FOR DEVELOPING TOURISM PROJECTS

  1. LAW NO. 158-01 FOSTERING TOURISM DEVELOPMENT

Law No. 158-01 on fostering tourism development, dated October 9, 2001, as amended by Laws Nos. 184-02, 318-04, 253-12 and 195-13, aims at accelerating a rationalized development of the tourism industry throughout the country, by granting tax incentives and benefits to tourism developers.

  • SCOPE OF APPLICATION

Any individuals or corporations domiciled in this country undertaking, promoting or investing capital in any of the businesses contemplated be low are eligible for these incentives:

  1. Hotel facilities, resorts and/or hotel complexes,
  2. The construction of any facilities designed for conventions, fairs, international meetings, festivals, stage shows and concerts,
  3. Any businesses engaging in the promotion of ocean cruises that will include any of the ports mentioned herein as ports of origin and final destination for their vessels,
  4. The construction and/or operation of amusement and/or ecological and/or theme parks;
  5. The construction and/or operation of port and maritime infrastructures serving tourism, such as sporting ports and marinas;
  6. The construction and/or operation of tourist infrastructures such as aquariums, restaurants, golf courses, sports facilities and any others as may be classified as a tourist-related facility;
  7. Any small and medium sized businesses whose market is fundamentally geared to tourism (crafts, ornamental plants, tropical fish, small endemic reptile breeding farms and others of a similar nature);
  8. Enterprises providing basic infrastructure services for tourism, such as aqueducts, treatment plants, environmental drainage, garbage collection and solid waste disposal.
  • INCENTIVES

 Beneficiaries of this Law will be exempt from paying the following:

  1. Income tax;
  2. b)    Any national or municipal taxes on the organization of companies, on increasing the capital of any already existing companies; any national and municipal taxes on the transfer of real property, or on any sale, exchange or contribution in kind or any other manner of assignment of real property; Tax on Luxury Dwellings and Undeveloped Lots (IVSS), as well as any rates, fees and levies on any blueprints, studies, opinions and supervision of the construction of any works to be built in the relevant tourist development, the latter exemption to be applied to any contractors in charge of the construction of the works;
  3. c) Import tax and other taxes, any rates, fees, surcharges, including Transfer Tax on Manufactured Goods and Services (ITBIS) levied on any machinery, equipment, materials and personal property that were necessary for the construction and for the original furnishing and commissioning of the relevant tourist facility.
  • EXEMPTION PERIOD

The tax exemption period is fifteen (15) years starting from the date of termination of the construction and outfitting of the project. A period of no more than three (3) years is allowed to initiate the sustained, uninterrupted operation of the project Failure to comply with this time limit automatically leads to the loss of the right to the exemptions acquired.

  • REGULATORY BODY

 The Tourism Development Council (sic Consejo de Fomento Turístico) known as “CONFOTUR” is the regulatory body, presided over by the Minister of Tourism, and consisting of the Minister of Finance or his representative, the Minister of Environment and Natural Resources, or his representative; the Minister of Culture, or his representative; a representative of the Dominican Association of Hotels and Tourism, Inc. (ASONAHORES); a representative of the Vice-Ministry of Tourism, who will act as Secretary; a certified environmental impact professional selected by the Ministry of Environment and Natural Resources, and a representative of the Ministry of Culture.

  • INCENTIVES FOR REMODELLING AND RENOVATING

Although the Law was originally intended for new projects, it was amended in 2013, given the need to renovate hotel structures more than five (5) years old and to rebuild or renovate the ones already more than fifteen (15) years old, namely:

  • Investments in tourist activities for hotel facilities, resorts or hotel complexes in existing structures will benefit from the exemption of 100% (100%) of the Tax on the Transfer of Industrialized Goods and Services (ITBIS) and other taxes that are applicable to machinery, equipment, materials, and movable property that are necessary for the updating, improvement and renovation of said facilities, provided they at least five (5) years old.

 The spirit of this article is to encourage updating, improving and renovating existing hotel structures in the country that are at least five (5) years old, whereby the State assumes a portion of the burden of maintenance of hotel facilities, resorts or hotel complexes in the country. This is a big step since most of the hotel room inventory in the country dates back more than five (5) years and needs to be renovated at least.

  • Hotel facilities, resorts and / or hotel complexes in existing structures that are at least fifteen (15) years old that reconstruct or remodel at least fifty percent (50%) of their facilities and whose final destination is hotel facilities, will benefit from one hundred percent (100%) of the exemption scheme established in Article 4 of the law.

 Again the State acknowledges the urgency to rebuild or remodel the hotel facilities in the country that are more than fifteen (15) years old, and obviously do not answer to the requirements of today´s demanding tourist who has an endless array of offers available to him via internet.

 APPLICATION REQUIREMENTS FOR INCENTIVES TO REMODEL OR RENOVATE. (HOTELSTRUCTURES AT LEAST FIVE (05) YEARS OLD)

 The requirements established by the Law in this case are: (i) fall into the category of «hotel facilities, resorts and / or hotel complexes» and (ii) be at least five (05) years old.

Let us emphasize that in this scenario, they will only benefit from the exemption to the Tax on the Transfer of Industrialized Goods and Services (ITBIS) and other taxes that may be applicable on machinery, equipment, materials and movable property that are necessary for the modernization of the hotel structure.

  • APPLICATION REQUIREMENTS FOR INCENTIVES TO REMODEL OR RENOVATE. (HOTELSTRUCTURES AT LEAST FIFTEEN (15) YEARS OLD)

 The requirements established by the Law in this case are: (i) fall into the category of «hotel facilities, resorts and / or hotel complexes» and (ii) be at least fifteen (15) years old, and (iii) that at least fifty (50%) percent of the facilities are to be rebuilt or renovated and that said investment in construction and renovations are fundamentally to the following parts of the hotel, resort or hotel complex: blocks of rooms, common areas in the hotel (restaurants, lobby, shops, spa, bars, convention halls, etc.), service areas (kitchens, laundry, offices, etc.) and any other roofed facility in the hotel.

In this case, applicants are eligible for one hundred percent (100%) of the exemption scheme set forth in Art.4 of the law.

  1. APPLICABLE PERMITS

 Regarding applicable permits for developing tourism projects we can highlight the following:

  2.1. ENVIRONMENTAL AUTORIZATION

 This authorization IS issued by the Ministry of Environment and Natural Resources. Depending on the environmental impact, the environmental clearances are classified as follows:

Category A: Environmental License

Category B: Environmental Permit

Category C: Environmental Certificate

Category D: Minimum Environmental Impact Registration Certificate

Concerning the duration of these clearances, category A and B clearances are first revised after five (5) years; the second revision is seven (7) years later, the third revision is ten (10) years after the second, after which revisions are every ten (10) years. As for category C clearances, the duration can vary up to a maximum of five (5) years depending on the features and nature of the project, while the duration of category D clearances vary, depending on the nature of the activity.

Likewise, environmental clearances can be withdrawn, suspended, modified or updated.

Regarding the promoter´s obligations after receiving the environmental clearance, they are: (i) the periodic submission of Environmental Compliance Reports (ICAs), (ii) updating their Environmental Management and Adaptation Programs (PMAA) and (iii) renewing Environmental Policies.

2.2. MUNICIPAL CLEARANCE

 These are issued by the corresponding Town Council and in general are the following:

  • No objection to Ground use
  • Draft and project
  • No Objection

 

  • MINISTRY OF TOURISM AUTHORIZATIONS

The Ministry of Tourism´s Department of Planning and Projects (DPP) issues the following authorizations, having verified that the project complies with the parameters established in the Zoning Plans drawn up by the Ministry.

  • No Objection to Ground Use
  • Prior Analysis
  • Design Guidelines

Other qualifying certificates issued by the Ministry of Tourism are:

  • License to Operate Hotels and Restaurants
  • License to Operate Time Share
  • Air / Maritime Transport License
  • Hotel/ Restaurant Establishment Classification

 

  • OUR EXPERIENCE

 DMK Lawyers | Central Law was the law firm that submitted the first application for classification to CONFOTUR. Our experience has left us two important lessons: (i) to be realistic. We understand and respect the fact that any project hoping to qualify must justify a direct link with the tourism industry. A pure and simple housing development does not qualify to apply for the benefits of the law, even though it is in a tourist destination; (ii) be creative. We identify opportunities beyond what the law says. Each case is different and a different legal strategy must be designed for each one.

As for the lessons we learned regarding the permit application process required for tourism projects, we can highlight the following: (i) the administration has powers that we must learn to tolerate and respect; (ii) although current legislation applicable in each case establishes deadlines, there is no such thing as silent consent and (iii) after the enactment of Law No. 107-13 on the rights and duties of citizens in their relationship with public administration , users have certain guarantees and a defense mechanism, if you will, in the face of poor administrative actions.

CONTRACTS FOR THE DEVELOPMENT OF TOURISM PROJECTS

Looked at simply, any capital investors interested in entering the core of an attractive sector of the country’s economy, as indeed is the tourism industry, have two options: a) start a project from scratch or b) buy one that is already operational and suits your needs and expectations.

Those who go for the second option have time on their side, seeing as from the initial negotiations to signing the contract usually takes about six months, as opposed to the alternative (starting something from scratch) which takes approximately two years.

The sacrifice in exchange for time gained is a risk inherent to this type of transaction, a distinctive feature of the object to be purchased. Transferring ownership of shares or membership interest units, depending on the circumstances of the company that owns the project, entails the transfer of all the obligations and rights that the seller had as such. By signing the sales contract the buyer becomes the new person in charge of the company in proportion to the acquired capital, and thus assumes all positions the previous owner occupied in the face of suppliers, employees, business partners, creditors, debtors and public authorities including the General Directorate of Internal Taxes.

The purchase of shares or membership interest units implies a change of control of the company and therefore all the preexisting legal relationships, rights and obligations are acquired along with the company.

Within these six months, three distinct stages run out which jointly make up the purchase process and if carried out properly greatly mitigate the aforementioned risks.

PRE-CONTRACTUAL STAGE

Once the parties involved have agreed on the most important points, it is very important for the success of the operation that these agreements are included in a document, thus leaving a record of the parties´ willingness to negotiate and carry out the transaction. This act is normally called a letter of intent and may be binding or not depending on the wording, and usually includes:

  1. Exclusivity clause;
  2. Confidentiality clauses; and
  • Period of Investigation or Due Diligence.

The letter of intent or memorandum of understanding is, in essence, a guide to the transaction reflecting how the parties must act throughout the process they have undertaken.

The investigative work or Due Diligence is the most important element of the transaction in the interests of the buyer, since the results will determine the status of the acquired company, the preexisting legal relationships, as well as the rights and obligations that are in force and will influence the negotiated price to a great extent.

CONTRACTUAL STAGE

The stage consists of signing a formal contract that includes all the elements of the transaction and reciprocal the commitments undertaken by the parties.

It should include a «Representations & Warranties» section, i.e., a set of crystal clear statements concerning the object of the purchase at the time of signing the agreement, the inconsistency or inaccuracy of which should be linked to economic consequences.

It is absolutely essential for both parties, but above all for the buyer, that the risks are made clear under the contract itself, it must specify who will be responsible for any contingency, expense or payment that arises after the closure, as a consequence of a fact that took place before signing the contract.

It is also be necessary to force the seller to commit himself to cooperate with providing any document or declaration required in order to formalize the transfer of all the properties before the public bodies involved.

POST CLOSING

Finally, it is important to highlight the post-closing or execution phase of the obligations of the contract, where the deeds are registered with the corresponding registries, in order to legitimize and make the transaction enforceable to third parties.[:]
